Introduction

Welcome to the Whale Partners Affiliate Program ("Program"). By registering as an affiliate partner with Whale.io ("Whale," "we," "us," or "Company"), you agree to be bound by these Affiliate Terms and Conditions ("Affiliate Terms"), which supplement and incorporate by reference the general Whale.io Terms and Conditions.
These Affiliate Terms govern your participation in the Program and your relationship with Whale Operations Ltd., the operator of Whale.io.

1. Definitions

Affiliate or Partner - refers to you, the individual or entity participating in the Whale Partners Affiliate Program.

Whale.io - the cryptocurrency casino and sportsbook platform operated by Whale Operations Ltd. under Anjouan gaming license ALSI-202503012-FI1.

Commission - the monetary reward payable to an Affiliate based on the net revenue generated by referred players.

FTD (First-Time Deposit) - the first real-money deposit made by a referred player on Whale.io.

Fraudulent Activity - any deceptive, manipulative, or unlawful conduct intended to exploit the Program, including but not limited to fake registrations, self-referrals, use of bots, collusion, or submission of false FTDs.

Admin Fee - a processing and administrative fee deducted from gross commission earnings prior to payment.

Net Revenue - the total revenue generated by referred players minus bonuses, chargebacks, refunds, and other adjustments as determined by Whale.io.

2. Affiliate Commission Structure

2.1 Affiliates earn commission based on the net revenue generated by players they refer to Whale.io through their unique affiliate tracking link.

2.2 Commission rates and structures will be communicated to you upon acceptance into the Program and may vary based on performance, player volume, or other criteria determined by Whale.io.

2.3 Admin Fee Deduction: An administrative fee will be deducted from your gross commission earnings before payment is processed. The applicable admin fee percentage will be disclosed to you separately.

2.4 Whale.io reserves the right to adjust commission rates, structures, and admin fees at any time with prior notice to active affiliates.

3. Payment Terms

3.1 Payment Frequency: Commission payments are made once per month, typically within 15 business days following the end of each calendar month.

3.2 Invoice Requirement: Affiliates must submit a valid invoice for the commission amount owed before payment can be processed. Invoices must include:

Affiliate name and account ID
Invoice date and number
Commission period (month/year)
Total commission amount (after admin fee deduction)
Payment details (cryptocurrency wallet address or other agreed method)

3.3 Minimum Payout Threshold: A minimum commission balance may be required before a payout is issued. This threshold will be communicated upon Program enrollment.

3.4 Payment Method: Payments are made in cryptocurrency (USDT, BTC, or other supported currencies) to the wallet address provided by the Affiliate.

3.5 Whale.io is not responsible for delays, errors, or losses caused by incorrect payment details provided by the Affiliate.

4. Fraudulent Activity and Withholding of Payments

4.1 Right to Withhold Payment: Whale.io reserves the absolute right to withhold, delay, or refuse commission payments if we detect or reasonably suspect:

Fraudulent activity by the Affiliate or referred players
Fake, invalid, or manipulated FTDs
Self-referrals or referrals from the same household/IP address
Use of bots, scripts, or automated systems to generate fake traffic or registrations
Violation of these Affiliate Terms or the general Whale.io Terms and Conditions

4.2 In cases where fraudulent activity is confirmed, Whale.io may:

Permanently withhold all outstanding commissions
Terminate the Affiliate's account without prior notice
Pursue legal action and seek recovery of any payments already made

4.3 The determination of fraudulent activity is made solely at the discretion of Whale.io, and our decision is final.

5. Affiliate Responsibilities and Prohibited Conduct

5.1 Affiliates must promote Whale.io in a professional, ethical, and lawful manner.

5.2 Prohibited Activities include but are not limited to:

Misrepresenting Whale.io's services, terms, or offerings
Using spam, unsolicited emails, or deceptive advertising
Promoting Whale.io in restricted jurisdictions (as defined in the Whale.io Terms and Conditions)
Bidding on Whale.io branded keywords in paid search campaigns without prior written approval
Creating fake accounts or referring yourself or family members
Engaging in any activity that damages Whale.io's reputation or violates applicable laws

5.3 Affiliates are solely responsible for ensuring compliance with all applicable laws and regulations in the jurisdictions where they operate and promote Whale.io.

6. Account Suspension and Termination

6.1 Whale.io reserves the right to suspend or terminate any Affiliate account at any time, with or without cause, including but not limited to:

Breach of these Affiliate Terms
Fraudulent or unethical conduct
Inactivity for an extended period
Operational, legal, or regulatory reasons

6.2 Upon termination:

All unpaid commissions may be forfeited at Whale.io's sole discretion
The Affiliate must immediately cease all promotional activities related to Whale.io
Any outstanding obligations owed to Whale.io remain enforceable

6.3 Whale.io is not liable for any loss of income, reputation, or other damages resulting from account suspension or termination.

7. Intellectual Property and Marketing Materials

7.1 Whale.io grants Affiliates a non-exclusive, non-transferable, revocable license to use Whale.io's trademarks, logos, and marketing materials solely for the purpose of promoting the platform in accordance with these Affiliate Terms.

7.2 Affiliates may not alter, modify, or misuse any Whale.io branding or intellectual property without prior written consent.

7.3 Upon termination of the Affiliate relationship, all rights to use Whale.io's intellectual property are immediately revoked.

8. Limitation of Liability

8.1 Whale.io shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your participation in the Affiliate Program.

8.2 Our total liability to any Affiliate shall not exceed the total commissions paid to that Affiliate in the 12 months preceding the claim.

8.3 Whale.io is not responsible for:

Technical issues, downtime, or errors affecting tracking or reporting
Changes in player behavior, market conditions, or regulatory environments
Third-party payment processor delays or failures

9. Confidentiality

9.1 Affiliates agree to keep confidential all non-public information related to the Program, including but not limited to commission structures, player data, and proprietary business information.

9.2 Breach of confidentiality may result in immediate termination and legal action.

10. Modifications to Affiliate Terms

10.1 Whale.io reserves the right to amend these Affiliate Terms at any time. Affiliates will be notified of material changes via email or through the Whale Partners dashboard.

10.2 Continued participation in the Program after such changes constitutes acceptance of the updated terms.

11. General Provisions

11.1 Entire Agreement: These Affiliate Terms, together with the Whale.io Terms and Conditions, constitute the entire agreement between you and Whale.io regarding the Affiliate Program.

11.2 Severability: If any provision of these Affiliate Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.3 No Partnership: Nothing in these Affiliate Terms creates a partnership, joint venture, employment, or agency relationship between you and Whale.io.

11.4 Governing Law: These Affiliate Terms are governed by the laws of Anjouan, consistent with the Whale.io Terms and Conditions.

11.5 Dispute Resolution: Any disputes arising from these Affiliate Terms shall be resolved under the exclusive jurisdiction of the courts of Anjouan.
